Company Secretary - Part time, Sydney CBD

Our client is a not for profit looking for an experienced Company Secretary to join their team on a part-time (3 days per week) basis.  This role will be responsible for ensuring that the client conforms to its legal and statutory obligations and follows high standards of corporate governance practice, as well as for delivering timely and efficient administration of Board affairs.

Key duties:

• Proactively assist the Chair and Directors in preparation and conduct of meetings
• Liaison with stakeholders in the preparation and distribution of Board papers, including drafting Agendas and taking minutes, Coordination of Documents for Execution in a timely manner
• Liaison with Chair and Directors as required, including appointments, probity checks and retirement notifications;
• Lodgements of regulatory forms and documents and assuring statutory records are up to date.
• Continue to develop processes and documentation and ongoing review of Secretariat procedures and checklists;
• Shareholders meetings and Annual General Meetings;
• Maintenance and management of Company Records;

Key Requirements:

• A minimum of 5 years experience in a Company Secretary or Legal role;
• Tertiary qualifications in law and/or company secretarial accreditation;
• A sound understanding of company secretarial duties and statutory obligations;
• Not for profit experience or charity law experience will be highly regarded;
• Good commercial understanding;
• Eye for detail;
• The ability to prioritise projects and direct limited resources to areas of highest value;
• Excellent communication skills both written and verbal;
• Strong presentation skills;
• Meeting Minutes drafting skills;
