About the role
Our client is seeking a Special Counsel to lead the M&A team in the Sydney office. This is a leadership role with real opportunity for equity in the future. As well as having the technical experience in corporate and M&A work you'll need to be commercially-minded, dynamic, adventurous and driven. Cultural fit is of high importance in this ambitious, agile and growing firm.
- Lead and manage a broad range of corporate transactions including mergers, acquisitions, share sales and business sales.
- Draft, review, and negotiate key transaction documents (e.g. share sale agreements, asset sale agreements, shareholder agreements).
- Conduct and coordinate legal due diligence processes.
- Capital raising, as well as convertible notes and SAFE notes.
- Shareholders’ and governance documents.
- Share-buy backs and other capital reductions.
- Employee equity and bonus plans (not essential).
- Advise clients on corporate structuring, directors’ duties, and compliance with the Corporations Act.
- Manage client relationships and act as a key point of contact for transactions.
- Supervise junior lawyers and contribute to mentoring and team development.
- Participate in strategic and business development initiatives.
- Minimum 7 years’ post-admission experience in corporate and M&A law
- Strong background in transactional work, including running deals from start to finish
- Excellent drafting, communication, and negotiation skills
- Commercial acumen and ability to provide practical legal solutions
- Ability to work independently and collaboratively within a team
- Client-centric approach with high levels of responsiveness and professionalism
- Experience supervising junior lawyers
- Admitted to practice in New South Wales
